1. Introduction
These Terms and Conditions (“Terms”) govern your use of madalent.com (the “Site”) and your purchase of any products from Madalent (“we”, “us”, “our”). By placing an order or using this Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site or purchase our products.
2. About Madalent
Madalent is an Australian business providing digital AI governance, compliance, finance and business toolkits, sold as downloadable templates and documents.
3. Products and Digital Delivery
All products sold on this Site are digital downloads delivered electronically. No physical goods are shipped. Access to purchased files is provided immediately after successful payment, via download link and/or email.
You are responsible for ensuring you have suitable software (e.g. Microsoft Word, Excel, PowerPoint or compatible equivalents) to open and use the files you purchase.
4. Licence to Use
When you purchase a product from Madalent, you receive a limited, non-exclusive, non-transferable licence to use, edit and brand that product for your own business or your direct client’s use, unless a separate licence (such as a Consultant White-Label Licence) has been purchased.
Unless expressly permitted by a separate written licence agreement, you may not resell, redistribute, sublicense, or share purchased templates as standalone products, in bulk, or as part of a competing toolkit or service offering.
All Madalent products remain the intellectual property of Madalent. Purchasing a product does not transfer copyright or ownership of the underlying template.
5. Pricing and Payment
All prices are listed in Australian Dollars (AUD) unless otherwise stated. We reserve the right to change prices at any time without notice; the price charged will be the price displayed at the time your order is placed.
Payments are processed securely through WooPayments (powered by Stripe) and/or PayPal. We do not store your full payment card details.
6. Refunds
Refunds are handled in accordance with our Refund and Returns Policy. Please review that policy before purchasing.
7. Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose;
- Attempt to gain unauthorised access to any part of the Site or its systems;
- Distribute, resell or share purchased products in breach of the licence terms above;
- Misrepresent Madalent products as your own original work when reselling consulting services based on them (customisation and business use is permitted; wholesale resale of the templates themselves is not, absent a licence).
8. No Legal or Professional Advice
Madalent products (including but not limited to AI governance, risk, compliance and finance templates) are general-purpose templates intended to help you build your own documentation. They are not a substitute for legal, compliance, financial or other professional advice specific to your circumstances. You should seek independent professional advice before relying on any Madalent product for regulatory, compliance or financial decision-making.
9. Limitation of Liability
To the maximum extent permitted by law, Madalent excludes all liability for any indirect, incidental or consequential loss arising from your use of our products or this Site. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded.
10. Third-Party Services
This Site uses third-party services to operate, including payment processing (WooPayments/Stripe, PayPal), hosting (Hostinger) and email delivery. Your use of these services in connection with the Site is also subject to their respective terms.
11. Changes to These Terms
We may update these Terms from time to time. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of Queensland, Australia, and you submit to the non-exclusive jurisdiction of its courts.
